1. Agreement to Terms

These Terms of Use (“Terms”) are a binding agreement between you and Gratwick Enterprises, Inc., a California corporation (“Gratwick,” “we,” “us,” or “our”), governing your access to and use of the Gratwick mobile application, gratwick.io, and all related services (collectively, the “App”). By creating an account, subscribing, or otherwise using the App, you agree to these Terms. If you do not agree, do not use the App. These Terms should be read together with our Privacy Policy, which is incorporated by reference.

2. Eligibility

You must be at least 16 years old to use the App. If you are under 18, you may use the App only with the involvement of a parent or legal guardian who has reviewed and agreed to these Terms on your behalf, and by using the App you represent that you have that consent.

Certain features are restricted to users who are at least 18 years old and capable of forming a binding contract: submitting to or participating in a casting call or audition (Section 6), participating in any Gratwick securities offering, and receiving cash payouts. By using those features you represent that you are 18 or older.

By using the App you represent that all registration information you provide is accurate and current. Gratwick may verify eligibility and identity as described in Section 13 (Compliance and Monitoring).

3. The App and Our Services

Gratwick operates an entertainment platform where subscribers gain access to Gratwick productions, casting and audition events, creator submissions, and related features, including but not limited to: production content and behind-the-scenes access (“The Set”); live casting auditions and the ability to rate performances; a creator submission and greenlighting process; and Gratcoin, a digital rewards token described in Section 7. Features, productions, and availability may change over time at Gratwick’s discretion.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@gratwick.io of any unauthorized use. Gratwick is not liable for losses caused by unauthorized use of your account resulting from your failure to safeguard your credentials.

5. Subscriptions, Billing, and Cancellation

(a) Subscription Plans. Gratwick offers subscription plans, including periodic (e.g., monthly or annual) plans and, where offered, lifetime access plans, as described at checkout.

(b) Automatic Renewal. Periodic subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled before the renewal date. By subscribing, you authorize Gratwick (or its payment processor) to charge your payment method on a recurring basis until you cancel.

(c) Cancellation. You may cancel automatic renewal at any time through your account settings or by contacting support@gratwick.io. Cancellation takes effect at the end of the current billing period; Gratwick does not provide partial-period refunds except where required by law.

(d) Lifetime Access Plans. A “lifetime” subscription grants access for as long as Gratwick continues to operate the App, is non-transferable, and, once purchased, is non-refundable except where required by law or as separately stated at the time of purchase.

(e) Price Changes. Gratwick may change subscription pricing prospectively with notice; changes apply to future billing periods only.

6. Casting, Auditions, and Talent Submissions

(a) No Guarantee. Submitting to or participating in a Gratwick casting call, audition, or the live audition feature does not guarantee casting, employment, compensation, or representation of any kind. Participation does not create an employment, agency, or talent-representation relationship between you and Gratwick. Casting calls and auditions are open only to individuals who are at least 18 years old.

(b) Release of Likeness. By submitting an audition or participating in a live casting event, you grant Gratwick a worldwide, royalty-free license to record, use, reproduce, broadcast, livestream, and display your name, image, likeness, voice, and performance in connection with the applicable production, the App’s casting-influence and rating features, and Gratwick’s promotional and marketing materials.

(c) Digital Replicas. Gratwick will not create or use an artificial-intelligence-generated digital replica of your voice or likeness without your separate, specific, informed written consent and, where required by applicable law, fair compensation.

(d) Production Agreements Control. If you are cast in a Gratwick production, the specific terms of your engagement, compensation, and intellectual property ownership will be governed by a separate written agreement between you and Gratwick, which controls over these Terms in the event of conflict.

7. Gratcoin

Gratcoin is a non-tradeable digital reward token exclusive to the App. Gratcoin: (a) is not a security, cryptocurrency, or investment product; (b) carries no promise or expectation of financial return, profit, or appreciation in value; (c) has no cash value and cannot be sold, exchanged for cash, or transferred outside the App; and (d) may be redeemed no more than once annually for Gratwick rewards and experiences, as described in the App. Gratcoin is entirely separate from, and should not be confused with, Gratwick’s Class C Preferred Stock or any other security offered under a separate offering (including any Regulation CF offering). Gratcoin does not represent equity, ownership, or any investment interest in Gratwick.

8. User Content and Submissions

(a) Ownership. As between you and Gratwick, you retain ownership of the content you submit to the App, including videos, photographs, audition materials, creator submissions, comments, and ratings (“User Content”).

(b) License to Gratwick. By submitting User Content, you grant Gratwick a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, stream, distribute, and promote that User Content in connection with operating and marketing the App. This license ends when you delete the applicable User Content, except to the extent it has already been incorporated into a production, promotional material, or other published content.

(c) Your Representations. You represent that you own or have the necessary rights to all User Content you submit, and that it does not infringe or violate the rights of any third party.

(d) Content Standards. User Content, including ratings and comments submitted through the casting-influence and audition-rating features, must not: harass, threaten, or abuse any person, including performers being rated; contain hate speech or discriminatory content; infringe intellectual property or privacy rights; or violate applicable law. Gratwick may remove or disable any User Content, and suspend or terminate accounts, that violate this Section, without liability to you.

9. Gratwick Intellectual Property

The App, including its design, software, trademarks, logos, and underlying technology, is owned by Gratwick or its licensors and is protected by intellectual property laws. Except for the limited right to use the App as permitted by these Terms, no rights are granted to you. You may not copy, modify, reverse engineer, scrape, or create derivative works from the App, or use Gratwick’s trademarks, without prior written permission.

10. Copyright Policy (DMCA)

Gratwick respects intellectual property rights and responds to notices of alleged copyright infringement. If you believe content on the App infringes your copyright, submit a notice to Gratwick’s designated agent containing the information required under the Digital Millennium Copyright Act, 17 U.S.C. § 512.

Gratwick will remove or disable access to material identified in a valid notice and will terminate, in appropriate circumstances, the accounts of repeat infringers. A user whose content is removed may submit a counter-notice as provided under the DMCA.

11. Prohibited Conduct

You agree not to: use the App for any unlawful purpose; impersonate any person or entity; upload malicious code; interfere with the operation or security of the App; attempt to circumvent age, identity, or eligibility verification; manipulate voting, rating, or casting-influence features through automated means, multiple accounts, or coordinated inauthentic activity; or use the App to violate the rights of others.

12. Third-Party Services

The App may integrate with or link to third-party services, including payment processors and app stores. Gratwick is not responsible for the practices, content, or availability of third-party services, which are governed by their own terms.

13. Compliance and Monitoring

Gratwick may monitor accounts and transactions and request identity or eligibility verification as necessary to comply with applicable law, including know-your-customer and anti-fraud obligations related to Gratwick’s securities offerings and platform integrity.

14. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GRATWICK DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, INCLUDING DURING LIVE-STREAMED EVENTS, OR THAT ANY PRODUCTION, CASTING PROCESS, OR SUBSCRIPTION BENEFIT WILL MEET YOUR EXPECTATIONS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRATWICK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, OPPORTUNITY, OR GOODWILL, ARISING FROM YOUR USE OF THE APP. GRATWICK’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID GRATWICK IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100).

16. Indemnification

You agree to indemnify and hold Gratwick, its officers, directors, employees, and agents harmless from any claim, loss, or demand, including reasonable attorneys’ fees, arising out of your User Content, your violation of these Terms, or your violation of any right of a third party.

17. Suspension and Termination

Gratwick may suspend or terminate your account or access to the App at any time, with or without notice, for conduct that violates these Terms or that Gratwick determines, in its reasonable discretion, to be harmful to the App, other users, or Gratwick. You may stop using the App and close your account at any time. Sections that by their nature should survive termination (including Sections 8(c), 9, 10, and 14 through 21) will survive.

18. Dispute Resolution: Binding Arbitration and Class Action Waiver

(a) Agreement to Arbitrate. Except for disputes eligible for small claims court or claims for injunctive relief to protect intellectual property, you and Gratwick agree that any dispute arising out of or relating to these Terms or the App will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court.

(b) Class Action Waiver. You and Gratwick agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

(c) Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@gratwick.io within thirty (30) days of first accepting these Terms.

19. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Subject to Section 18, the state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any dispute not subject to arbitration.

20. Accessibility

Gratwick is committed to making the App accessible to all users. If you experience difficulty accessing any part of the App, contact us at support@gratwick.io so we can assist you.

21. Changes to These Terms

Gratwick may modify these Terms from time to time. Material changes will be notified through the App or by email, and continued use of the App after changes take effect constitutes acceptance of the revised Terms. Where the change is material, Gratwick may also require you to affirmatively accept the revised Terms before continuing to use the App.

22. Miscellaneous

(a) Entire Agreement. These Terms, together with the Privacy Policy and any production- or purchase-specific terms, constitute the entire agreement between you and Gratwick regarding the App. (b) Severability. If any provision is held unenforceable, the remaining provisions remain in full force. (c) No Waiver. Gratwick’s failure to enforce any provision is not a waiver of that provision. (d) Assignment. Gratwick may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign these Terms without Gratwick’s consent. (e) Force Majeure. Gratwick is not liable for delays or failures caused by events beyond its reasonable control, including outages of third-party infrastructure.
